Data Privacy: Counsel product, engineering and executive teams regarding the ever-changing landscape of data privacy and cyber-security regulations. Draft privacy policies, perform data inventory analyses, data mappings, privacy audits and security audits and formulate best practices for data collection, data use, data retention and cyber-security to comply with various regulatory frameworks (e.g., GDPR, CCPA). Build programs to respond to consumer rights requests.

Governmental Briefings: Engage with regulators globally to pre-brief on product launches and/or respond to inquiries (e.g., Federal Trade Commission, Irish Data Protection Commission, Brazilian Data Protection Authority).

Licensing: Draft and negotiate various contracts (SaaS) with a focus on data privacy, intellectual property, warranties and data management provisions.

  • Technology Transfers: Negotiate technology transfer and license agreements by evaluating the strength of any claims, relevant sales, historical licensing terms for similar technologies and relevant stakeholders and engaging in written and face-to-face licensing negotiations.

  • SaaS Insourcing and Outsourcing: Negotiate agreements covering the creation and provision of software, taking into account intellectual property provisions, data privacy provisions and warranties of service.

Litigation: Defend clients in federal district and appellate courts against claims of patent infringement, copyright infringement, misappropriation of trade secrets, unfair competition, unjust enrichment and breach of contract.

Cancellation Proceedings: Defend clients against threatened patent infringement claims by challenging and invalidating the asserted patents in inter partes reviews before the United States Patent & Trademark Office.  

Corporate Restructuring: Counsel clients acquiring companies having substantial technology or data assets by performing due diligence to affirm the status and ownership over any intellectual property assets, assuring the transfer of all rights to fulfill the purpose of the acquisition, and assuring the integrity of any customer data being transferred.

Employment: Counsel clients regarding various employment related issues by, for example, updating employee handbooks, conducted internal investigations, counselling regarding employee privacy protections in the workplace, and counselling how to protect company data during employee departures.
